End User Licence Agreement (EULA) for AiTalent.Club
Effective Date: 18 March 2025

This End User License Agreement (“Agreement”) is a legal agreement between you (“User” or “You”) and AiTalent.Club (“We,” “Us,” or “Our”) that governs your use of our website and associated services (collectively, the “Service”). By accessing or using the Service, you agree to the terms of this Agreement. If you do not agree to these terms, you must not use the Service.

1. License Grant
We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for personal or business purposes in accordance with this Agreement.

2. Ownership
All rights, title, and interest in the Service, including but not limited to content, software, and intellectual property, remain with AiTalent.Club or its licensors. This Agreement does not grant you ownership of any part of the Service.

3. Permitted Uses
You may:

Use the Service to curate and manage collections for lawful purposes.
Download or print materials from the Service for personal use, provided you retain all proprietary notices.
4. Prohibited Uses
You agree not to:

Reverse-engineer, modify, or create derivative works of the Service.
Distribute, sublicense, or commercially exploit any portion of the Service without Our explicit permission.
Use the Service to transmit unlawful, defamatory, or harmful material.
Bypass security measures or attempt to gain unauthorized access to the Service.
5. User Responsibilities
You are responsible for:

Keeping your account credentials secure.
Ensuring all information provided during registration is accurate and up-to-date.
Using the Service in compliance with applicable laws and this Agreement.
6. Updates and Changes
We reserve the right to modify or discontinue the Service, or any part thereof, at any time with or without notice. Updates may require you to agree to additional terms.

7. Termination
This Agreement remains effective until terminated. We may suspend or terminate your access to the Service without notice if you violate any provision of this Agreement. Upon termination, your rights to use the Service will cease immediately.

8. Indemnification
You agree to indemnify, defend, and hold harmless AiTalent.Club, its officers, directors, employees, representatives, and agents from any claims, damages, liabilities, or expenses (including attorneys’ fees) arising out of:

Your use of the Service.
Your breach of this Agreement.
Any third-party claims arising from your content or actions.
9. Limitation of Liability
To the fullest extent permitted by law, AiTalent.Club shall not be liable for:

Any indirect, incidental, or consequential damages resulting from your use of the Service.
Loss of data, revenue, or profits, even if advised of such potential damages.
Our total liability shall not exceed the fees paid by you for accessing the Service in the 12 months preceding the claim.

10. Warranty Disclaimer
The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted or error-free operation of the Service.

11. Governing Law and Dispute Resolution
This Agreement is governed by the laws of Ireland. Any disputes arising under this Agreement will be resolved through arbitration in Ireland, unless otherwise required by law.

12. Privacy
Your use of the Service is also governed by our Privacy Policy. By agreeing to this Agreement, you acknowledge and accept our data practices.

13. Entire Agreement
This Agreement, along with the Privacy Policy, constitutes the entire agreement between you and AiTalent.Club regarding your use of the Service and supersedes any prior agreements.
